General Terms and Conditions
With customer information.
§ 1 Scope
(1) These General Terms and Conditions (GTC) apply to all contracts you conclude with NonPlus Components GmbH (hereinafter “we”) via our online shop at nonpluscomponents.com. They apply equally to consumers and businesses unless otherwise stated below.
(2) A consumer is any natural person who concludes a legal transaction for purposes that are predominantly outside their trade, business or self-employed profession (§ 13 BGB). A business (Unternehmer) is a natural or legal person or a partnership with legal capacity who, when concluding the legal transaction, acts in the exercise of their trade, business or self-employed profession (§ 14 BGB).
(3) Deviating terms of the customer apply only if we expressly agree to them in writing.
§ 2 Contracting partner, language, contract text
(1) Your contracting partner is NonPlus Components GmbH, Max-Eyth-Str. 7, 71364 Winnenden, Germany, phone +49 7195 9577901, email info@nonpluscomponents.com, registered at the Stuttgart Local Court (Amtsgericht) under HRB 791968, represented by the Managing Director Manuel Walker.
(2) The contract can be concluded in German or English. The language in which you place your order is authoritative.
(3) We store the contract text. After your order, you receive an order confirmation with all order details from us by email. You can view, save and print these GTC at any time via the link in this email and on our website under “GTC”. With a customer account you can view your orders at any time under “My Account”.
§ 3 Conclusion of contract
(1) The presentation of products in the online shop does not constitute a legally binding offer, but an invitation to place an order.
(2) The ordering process works as follows: You choose a product and configuration (for example hub version, freehub, hole count, spokes and decal colour) and add it to the cart. At checkout you enter your billing and delivery address and choose the shipping and payment method. On the last page you see all details once more and can correct them using your browser’s back function or the links to the respective step. By clicking the “Order with obligation to pay” button, you submit a binding offer.
(3) Immediately afterwards, you receive an automatic acknowledgement of receipt by email. This does not yet constitute acceptance of your offer. The contract is concluded when we confirm the order by email (order confirmation) or ship the goods, but at the latest when you have chosen a payment method with immediate payment processing (for example credit card or PayPal) and the payment is successfully initiated. If we do not accept your offer within five working days, you are no longer bound by it.
(4) Product images in the shop are partly 3D renderings and serve as illustration. The product description with the stated technical data is decisive for the properties of the product. Minor deviations in colour, surface finish or laser marking, for example due to screen display or manufacturing tolerances, are reserved insofar as they are reasonable for you. Your statutory warranty rights remain unaffected.
§ 4 Right of withdrawal
As a consumer in the European Union, you have a statutory right of withdrawal. Details can be found in the Withdrawal policy. You can submit your withdrawal directly online using the function Withdraw from contract declare.
§ 5 Prices and shipping costs
(1) All prices are final prices and include statutory VAT. Shipping costs are shown separately on the product page and at checkout.
(2) Deliveries to countries outside the European Union may incur customs duties, import VAT and fees in the destination country. These are borne by you unless stated otherwise at checkout. For goods values of €1,000 or more we charge a flat fee of €60 for the export declaration, which is shown at checkout.
§ 6 Payment
(1) The available payment methods are shown to you at checkout. We offer credit card, Apple Pay, Google Pay, PayPal and prepayment by bank transfer. Card payments are processed by Stripe Payments Europe, Ltd., PayPal payments by PayPal (Europe) S.à r.l. et Cie, S.C.A. Their terms of use apply in addition.
(2) For prepayment, please transfer the total amount within 7 days of your order to the account stated in the order confirmation. If no payment has been received after 14 days, we may withdraw from the contract.
(3) The purchase price is due on conclusion of the contract. Production of wheelsets and hubs begins after receipt of payment.
(4) You receive an invoice in electronic form by email and in your customer account.
§ 7 Production and delivery
(1) We build wheelsets and hubs in Winnenden to your configuration. The estimated delivery time is shown on the product page and in the cart. For prepayment it begins on the day after receipt of payment, otherwise on the day after conclusion of the contract, and ends on expiry of the last day of the period. If that day falls on a Saturday, Sunday or public holiday at the place of delivery, the period ends on the next working day.
(2) We deliver to the countries listed on the page Shipping & payment . Partial deliveries are only made if they are reasonable for you. You incur no additional shipping costs as a result.
(3) If an ordered product is permanently unavailable because we are not supplied by a reliable supplier through no fault of our own, we will inform you without delay and immediately refund any payments already made.
(4) Collection in Winnenden is possible by prior arrangement.
§ 8 Retention of title
The goods remain our property until paid in full. With respect to businesses, we retain ownership until all claims arising from the ongoing business relationship have been settled. Businesses may resell the reserved goods in the ordinary course of business and hereby assign to us all resulting claims in the amount of the invoice total. We accept the assignment.
§ 9 Transport damage
If the goods arrive with obvious transport damage, please report this to the carrier as soon as possible and contact us. For consumers, failing to do so has no consequences for their statutory rights. But it helps us enforce our claims against the shipping company. For businesses, the duty to inspect and give notice of defects under § 377 HGB applies.
§ 10 Liability for defects
(1) Statutory warranty law applies. For consumers, the limitation period for warranty claims is two years from delivery of the goods.
(2) For businesses, the limitation period for warranty claims is one year from delivery. This does not apply to claims for damages under § 12 or to recourse claims under §§ 445a, 478 BGB.
(3) Wear parts such as bearings, seals, freehub pawls and brake tracks are subject to natural wear through use. Normal wear is not a defect.
§ 11 Manufacturer’s guarantee
(1) In addition to your statutory rights, as the manufacturer we provide a four-year guarantee on the hub body, axle and end caps of our hubs. The guarantor is NonPlus Components GmbH, Max-Eyth-Str. 7, 71364 Winnenden, Germany.
(2) The guarantee covers defects in material and workmanship of these parts that occur during intended use. It applies worldwide to the original purchaser and begins on the date of purchase. In a guarantee case, we will repair or replace the affected part free of charge at our discretion. Excluded are wear parts such as bearings, the freehub, damage caused by crashes, accidents, improper installation or maintenance, modifications to the product and commercial rental.
(3) How to make a guarantee claim: Write to us with proof of purchase, serial number, photos and a short description at info@nonpluscomponents.com or use the page Guarantee . We’ll then tell you how to send in the product.
(4) The guarantee does not affect your statutory warranty rights. Making a claim under it is free of charge. You can assert your statutory rights regardless of whether a guarantee case exists.
§ 12 Liability
(1) We accept unlimited liability for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz) and to the extent of any guarantee we have given.
(2) In the event of a slightly negligent breach of an essential contractual obligation, the fulfilment of which makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely (cardinal obligation), our liability is limited to the foreseeable damage typical for the contract.
(3) Otherwise, liability for slight negligence is excluded. These limitations also apply in favour of our employees and vicarious agents.
§ 13 Installation and use
Our hubs and wheelsets are lightweight high-performance components for cycling. Before ordering, please check compatibility with frame, fork, drivetrain and brake, for example with the FitCheck or with our Wheel Specialist. Installation should be carried out by a specialist workshop or a qualified person according to our instructions. Stated maximum weights (rider including bike and luggage) and tyre pressure limits must be observed. Your statutory rights remain unaffected.
§ 14 Dealers and businesses
(1) Registered dealers see their dealer prices after logging in. Unless stated otherwise, these are exclusive of statutory VAT. Intra-Community supplies to businesses with a valid VAT ID are VAT-exempt. The tax liability is transferred to the recipient (reverse charge).
(2) We agree volume and annual terms individually. You can submit requests in the partner area at Volume pricing. Supplementary dealer agreements take precedence over these GTC.
(3) The right of withdrawal applies to consumers only.
§ 15 Applicable law, place of jurisdiction
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer habitually resident in another country, the mandatory consumer protection provisions of that country remain applicable to you.
(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from this contract is our registered office in Winnenden. This also applies if the customer has no general place of jurisdiction in Germany or the EU.
§ 16 Dispute resolution
We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board. If there is a problem, talk to us directly.
